1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the services, software, and websites (collectively, the "Services") provided by Eude Technology ("Eude Tech," "we," "our," or "us"). By accessing or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

Eude Technology provides enterprise AI platform solutions, including but not limited to:

• Eude Tech Base: Core AI inference engine with multi-model orchestration
• Eude Tech Embed: Embedding generation and vector search capabilities
• Eude Tech Vault: Secure knowledge management and RAG solutions
• AI Agents: Autonomous agent deployment and orchestration framework

3. Account Terms

3.1 Account Creation

You must provide accurate, complete, and current information when creating an account. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

3.2 Enterprise Accounts

Enterprise customers may designate administrators who can manage user access, permissions, and organizational settings. The organization remains responsible for all users' compliance with these Terms.

4. Acceptable Use

You agree not to use the Services to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Generate, store, or transmit malicious code or harmful content
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the integrity or performance of the Services
• Use the Services to develop competing products or services
• Reverse engineer, decompile, or disassemble any part of the Services

5. Customer Data

5.1 Ownership

You retain all rights, title, and interest in and to your data ("Customer Data"). We do not claim any ownership rights in Customer Data.

5.2 License to Process

You grant us a limited license to process Customer Data solely to provide, maintain, and improve the Services, and as otherwise described in our Privacy Policy.

5.3 Data Security

We implement and maintain appropriate technical and organizational security measures to protect Customer Data. Enterprise customers may request our security documentation and certifications.

6. Payment Terms

Fees for the Services are set forth in your order form or subscription agreement. Unless otherwise specified:

• Fees are due in advance and are non-refundable
• We may modify pricing with 30 days' notice for monthly subscriptions
• Enterprise agreements may include custom payment terms
• Overdue amounts may incur late fees as permitted by law

7. Intellectual Property

The Services, including all software, algorithms, models, documentation, and other materials provided by Eude Technology, are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms. This license does not include the right to sublicense, modify, or create derivative works of our proprietary technology.

8. Confidentiality

Each party agrees to protect the confidential information of the other party using the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. Confidential information includes pricing, technical specifications, security documentation, and other non-public information disclosed in connection with the Services.

9. Warranties and Disclaimers

We warrant that the Services will perform substantially in accordance with our documentation. EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AI-generated outputs may contain errors or inaccuracies. You are responsible for reviewing and validating any outputs before use in production systems or decision-making processes.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EUDE TECHNOLOGY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Eude Technology and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

12. Term and Termination

These Terms remain in effect until terminated. We may suspend or terminate your access to the Services:

• For violation of these Terms or applicable laws
• For non-payment of fees
• If required to comply with legal obligations
• Upon 30 days' written notice for any reason

Upon termination, your right to use the Services will cease immediately. We will provide you with access to export your Customer Data for 30 days following termination.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration, except that either party may seek injunctive relief in any court of competent jurisdiction.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes through the Services or by email. Your continued use of the Services after such notice constitutes acceptance of the modified Terms. Enterprise customers with executed agreements may have separate change notification procedures.
